1. Acceptance of Terms

By accessing or using this website (“Site”) or any services provided by CyberRook (“Company,” “we,” “our,” or “us”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use this Site or our services.

These Terms apply to all visitors, clients, and users of the Site.

2. Nature of Services

CyberRook provides cybersecurity readiness and educational services related to the Cybersecurity Maturity Model Certification (CMMC).

Our services may include:

• Gap assessments
• Compliance readiness consulting
• Educational training

The Company does not provide legal advice, auditing services, certification services, or official government accreditation services.

The Company is not a C3PAO and cannot grant, guarantee, or imply CMMC certification.

3. No Guarantee of Compliance or Certification

The Company makes no representation, warranty, or guarantee that:

• A client will achieve CMMC certification
• A client will pass a CMMC assessment
• A client will meet requirements of U.S. Department of Defense, National Institute of Standards and Technology, or any other regulatory authority.

Compliance with CMMC and related standards remains solely the responsibility of the client organization.

4. Client Responsibilities

Clients agree that they are solely responsible for:

• Implementing cybersecurity controls
• Maintaining policies and procedures
• Operating and securing their IT systems
• Managing access to Federal Contract Information (FCI) and Controlled Unclassified Information (CUI)
• Ensuring regulatory compliance

Clients must not submit, upload, or transmit any FCI, CUI, export-controlled data, or classified information through this Site. Any Client that does so, permanently forfeits legal action against CyberRook.

5. No Storage of Sensitive Government Information

This Site is not authorized to store or process FCI or CUI.

Users agree that they will not submit or transmit such information through:

• Contact forms
• Email communications
• Uploaded documents
• Messaging systems

Any information submitted in violation of this provision is done at the sole risk of the user.

6. Informational Content Disclaimer

All information on this Site is provided for informational and educational purposes only.

Content may include references to standards such as:

• National Institute of Standards and Technology guidance
• Cybersecurity Maturity Model Certification
• NIST SP 800-171

Such materials are general guidance and may not reflect the most current regulatory requirements.

7. Limitation of Liability

To the maximum extent permitted by law, CyberRook, its owners, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to:

• Loss of government contracts
• Failed CMMC assessments
• Regulatory penalties
• Security breaches
• Business interruption
• Loss of data
• Loss of profits

arising out of or related to:

• Use of this Site
• Use of our consulting services
• Reliance on information provided by the Company.

Total liability, if any, shall not exceed the total amount paid by the client to the Company for services during the previous 12 months.

8. No Warranty

The Site and services are provided “AS IS” and “AS AVAILABLE.”

The Company makes no warranties, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of information
• Continuous or error-free operation of the Site

9. Indemnification

You agree to defend, indemnify, and hold harmless CyberRook, its owners, employees, and contractors from any claims, damages, losses, liabilities, costs, or expenses (including attorney fees) arising from:

• Your misuse of the Site
• Your failure to comply with applicable regulations
• Your transmission of restricted government information
• Your reliance on the Company’s advisory services.

10. Third-Party Links

The Site may contain links or data to third-party websites not limited but, including resources related to:

• U.S. Department of Defense
• National Institute of Standards and Technology
• National Archives and Records Administration
• Supplier Performance Risk System

We do not control and are not responsible for the content, accuracy, or security of third-party websites.

11. Intellectual Property

All content on this Site, including:

• text
• documents
• graphics
• branding
• training materials

is the intellectual property of CyberRook unless otherwise noted. Users may not reproduce, distribute, or create derivative works without written permission.

12. Confidentiality

While the Company will make reasonable efforts to maintain confidentiality, communication through this Site is not guaranteed to be secure.

Users should not submit sensitive or regulated information. Separate client agreements may include additional confidentiality provisions.

13. Service Agreements

All consulting services are governed by separate written service agreements.
If a conflict exists between these Terms and a signed agreement, the signed agreement controls.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Georgia, without regard to conflict-of-law principles.

Any disputes shall be resolved in the state or federal courts located in Georgia.

15. Arbitration

At the Company’s election, any dispute arising from these Terms or services may be resolved through binding arbitration instead of litigation.

16. Changes to Terms

The Company may modify these Terms at any time.
Changes become effective immediately upon posting to the Site.

Continued use of the Site constitutes acceptance of the revised Terms.
